These Terms of Service (“Terms”) govern your access to and use of the BONITOGO website, www.bonitogo.com, and the products and business services provided through the website.

The website is operated by Yiwu Guohong Trading Co., Ltd. (“BONITOGO”, “we”, “us”, or “our”).

By accessing our website, submitting an inquiry, requesting a quotation, purchasing products, or engaging our Ready Stock, wholesale, OEM, private-label, or customization services, you agree to these Terms.

If you do not agree with these Terms, please do not use our website or services.


1. OUR BUSINESS AND SERVICES

BONITOGO provides belts, belt buckles, belt straps, related components, and customized belt solutions for business customers worldwide.

Our services primarily include:

  • Ready Stock wholesale
  • Belt and buckle supply
  • OEM manufacturing
  • Private-label products
  • Product customization
  • Logo and branding customization
  • Product sampling and development
  • Customized packaging
  • Related sourcing and production support

We work with brand owners, wholesalers, retailers, e-commerce sellers, importers, distributors, sports organizations, corporate buyers, and other commercial customers.

Our website provides general product and service information. Specific products, prices, quantities, specifications, production schedules, payment terms, and shipping arrangements are confirmed separately for each order.


2. USE OF OUR WEBSITE

You may use this website for lawful business and commercial purposes.

By using our website or requesting our services, you agree that you will not:

4. READY STOCK AND WHOLESALE

BONITOGO offers Ready Stock products for wholesale and commercial purchasing.

Ready Stock refers to existing belt styles, buckles, straps, and related products or components that do not normally require new product development or tooling.

Our Ready Stock MOQ generally starts from 10 belts, subject to the specific product and available inventory.

Ready Stock products are subject to actual stock availability.

Displaying a product on our website does not guarantee that a particular quantity will remain available when an order is placed.

Customers may request mixed Ready Stock styles where available, subject to applicable MOQ requirements and inventory.

The actual availability, quantity, price, and shipping arrangement will be confirmed before the order is finalized.


5. OEM AND CUSTOMIZATION

BONITOGO provides OEM and customization services for customers who require products developed or modified according to their specifications.

Customization may include:

  • Buckle design
  • Belt strap design
  • Materials
  • Colors
  • Width and length
  • Buckle finish
  • Logo application
  • Packaging
  • Labels and tags
  • Other agreed product specifications

Our standard OEM MOQ generally starts from 300 pieces, depending on the product and customization requirements.

The actual MOQ for a project may vary depending on product structure, tooling, materials, customization, packaging, and production requirements.

Before production begins, we will confirm the applicable MOQ, pricing, tooling requirements, sample requirements, and estimated lead time.


6. QUOTATIONS AND ORDER CONFIRMATION

Website prices, product information, and estimated lead times do not constitute a final commercial offer unless expressly stated otherwise.

A quotation may include:

  • Product price
  • Quantity and MOQ
  • Tooling or mold costs
  • Sample costs
  • Customization costs
  • Packaging costs
  • Production lead time
  • Shipping costs or arrangements
  • Payment terms
  • Other applicable charges

A quotation becomes commercially effective only when the relevant order is confirmed according to the agreed process.

For a specific order, the applicable quotation, Proforma Invoice, purchase order, approved specifications, approved sample, and other written confirmations will govern the transaction.

If there is a conflict between general information on our website and the confirmed terms of a specific order, the confirmed order documents will generally take precedence.


7. SAMPLES AND PRODUCT DEVELOPMENT

Customers may request samples before placing a bulk or OEM order.

Depending on the project, sampling may involve:

  • Existing product samples
  • Modified samples
  • Custom buckle samples
  • Custom belt strap samples
  • Logo samples
  • Plating or finishing samples
  • Packaging samples
  • Prototype development

Sample fees, tooling fees, development costs, and estimated sampling timelines will be confirmed according to the requirements of the specific project.

For custom products, sample development time is separate from mass-production lead time unless otherwise agreed in writing.


8. CUSTOMER APPROVAL

For customized products, customers are responsible for reviewing and approving the relevant specifications before mass production.

Depending on the project, approval may include:

  • Product dimensions
  • Materials
  • Colors
  • Buckle design
  • Buckle finish
  • Logo
  • Logo size and placement
  • Belt strap
  • Packaging
  • Artwork
  • Other product specifications

Once the customer has approved the relevant sample, artwork, drawing, or specifications, BONITOGO may use the approved version as the production reference.

Changes requested after approval may result in additional costs, additional tooling requirements, or production delays.


9. LOGOS, TRADEMARKS AND CUSTOMER MATERIALS

Customers may provide logos, trademarks, artwork, drawings, photographs, samples, product concepts, or other materials for quotation, development, customization, or production.

The customer is responsible for ensuring that they have the legal right or authorization to use any such materials.

By submitting these materials to BONITOGO, the customer authorizes us to use them only as reasonably necessary to quote, develop, manufacture, package, inspect, and deliver the requested products.

BONITOGO does not claim ownership of customer-provided logos, trademarks, or proprietary designs.

We may refuse requests that we reasonably believe may infringe third-party intellectual property rights or involve unauthorized use of another company’s brand or design.


10. BONITOGO INTELLECTUAL PROPERTY

Unless otherwise stated, the content and materials on this website are owned by or licensed to Yiwu Guohong Trading Co., Ltd.

This includes, but is not limited to:

  • Website text
  • Product descriptions
  • Product photographs
  • Graphics
  • Website design
  • Original product designs
  • Technical drawings
  • Product development materials
  • Original marketing content
  • BONITOGO trademarks and branding

You may not copy, reproduce, modify, distribute, publish, sell, or commercially exploit our proprietary materials without our prior written permission.

This restriction does not apply to customer-owned materials that have been provided to us for a specific project.


11. CONFIDENTIALITY AND CUSTOMER PROJECTS

We understand that OEM and private-label projects may involve confidential business information.

Where a customer provides confidential designs, specifications, drawings, samples, product concepts, logos, or other proprietary information, BONITOGO will use such information only as reasonably necessary to handle the relevant project.

We will not intentionally use customer-provided proprietary designs or branding for another customer without authorization.

If the parties enter into a separate Non-Disclosure Agreement (“NDA”), the NDA will govern confidentiality obligations to the extent of any conflict with these Terms.


12. PRICING

Product prices may vary according to:

  • Raw material costs
  • Product specifications
  • Order quantity
  • Customization requirements
  • Tooling requirements
  • Packaging
  • Shipping arrangements
  • Market conditions
  • Other project-specific factors

Website prices are subject to change.

For a specific order, the price confirmed in the applicable quotation or PI will apply to that order unless otherwise agreed in writing.

Additional costs resulting from customer-requested changes after quotation or approval may be charged separately.


13. PAYMENT

Payment methods and payment terms may vary depending on the customer and order.

The applicable payment terms will be stated in the quotation, PI, or other written order confirmation.

Where a deposit or advance payment is required, production may begin only after the required payment has been received and the necessary product specifications have been confirmed.

Customers are responsible for making payments according to the agreed payment schedule.

Any payment-processing fees, bank charges, or other costs that are specifically assigned to the customer under the agreed payment terms will be the customer’s responsibility.


14. PRODUCTION AND LEAD TIME

Production lead times are estimates unless a specific delivery commitment has been expressly agreed in writing.

For OEM and customized products, production generally begins after the required specifications, samples, artwork, and other necessary details have been confirmed and approved.

Lead time may be affected by:

  • Tooling or mold development
  • Material availability
  • Sample approval
  • Customer-requested changes
  • Production capacity
  • Quality inspection
  • Packaging requirements
  • Shipping arrangements
  • Customs procedures
  • Transportation delays
  • Other circumstances outside our reasonable control

Where possible, BONITOGO will communicate significant changes to an estimated production schedule.


15. SHIPPING AND DELIVERY

BONITOGO can assist with international shipping arrangements according to the requirements of the order.

Customers may also nominate their own freight forwarder where appropriate.

Shipping arrangements may depend on:

  • Destination
  • Order quantity
  • Product type
  • Shipping method
  • Delivery requirements
  • Applicable trade terms

Unless otherwise agreed, the customer is responsible for applicable destination-side customs duties, import taxes, customs clearance charges, and other local fees.

Estimated shipping times are not guaranteed unless a specific delivery commitment has been agreed in writing.

Shipping delays caused by carriers, customs authorities, ports, weather, government actions, or other circumstances outside our reasonable control do not constitute a failure by BONITOGO to fulfill an order.


16. QUALITY CONTROL

BONITOGO takes reasonable steps to control product quality during production and before shipment.

Depending on the order, quality control may include inspection of:

  • Materials
  • Dimensions
  • Product appearance
  • Buckle function
  • Logo application
  • Surface finish
  • Packaging
  • Other agreed specifications

Customers may request pre-shipment inspection arrangements where applicable.

The inspection requirements for a specific order may be agreed separately.


17. QUALITY CLAIMS AND AFTER-SALES SUPPORT

If a customer believes that products have a material quality issue or do not conform to the approved specifications, the customer should contact BONITOGO as soon as reasonably possible after receiving the products.

To help us investigate the issue, customers may be asked to provide:

  • Order or PI information
  • Product photographs
  • Videos
  • Quantity affected
  • Description of the issue
  • Relevant production or inspection information

BONITOGO will review the claim against the agreed specifications, approved samples, production records, and available evidence.

Where a confirmed manufacturing or quality issue is determined to be our responsibility, we will discuss an appropriate solution with the customer in accordance with the applicable order terms and our Returns Policy.


18. RETURNS AND CUSTOM PRODUCTS

Return and replacement arrangements depend on the type of product and the reason for the claim.

Ready Stock products and customized products may be subject to different return conditions.

Customized, OEM, private-label, and branded products are generally not returnable solely because the customer changes their mind or no longer requires the products.

However, this does not prevent customers from making a legitimate claim regarding a confirmed quality issue, material non-conformity, or other issue covered by the applicable order terms.

Customers must contact BONITOGO and obtain confirmation before returning any products.


19. CANCELLATION AND CHANGES

For Ready Stock orders, cancellation or modification depends on the order status and whether processing or shipment has already begun.

For OEM and customized orders, cancellation or modification may become restricted once:

  • Tooling has started;
  • Materials have been purchased;
  • Samples have been approved;
  • Production has started;
  • Customized packaging has been produced; or
  • Other irreversible costs have been incurred.

If a customer requests a change or cancellation after such costs have been incurred, the customer may be responsible for applicable costs already incurred.

Any cancellation or modification arrangement should be confirmed in writing.


20. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, BONITOGO shall not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of our website or services.

Such losses may include, where legally permitted:

  • Loss of business
  • Loss of revenue
  • Loss of profits
  • Loss of anticipated sales
  • Downstream commercial losses
  • Retail chargebacks
  • Business interruption
  • Delays caused by third-party logistics providers

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

For a specific commercial order, the parties’ rights and obligations will also be governed by the applicable quotation, PI, purchase agreement, and other written commercial documents.


21. FORCE MAJEURE

BONITOGO shall not be responsible for delays or failures caused by circumstances beyond our reasonable control.

Such circumstances may include:

  • Natural disasters
  • Fire
  • Flood
  • Epidemics or pandemics
  • War
  • Civil unrest
  • Government actions
  • Trade restrictions
  • Port closures
  • Transportation disruptions
  • Power or infrastructure failures
  • Labor disputes
  • Significant supply-chain disruptions
  • Other events beyond our reasonable control

If such circumstances materially affect an order, we will make reasonable efforts to communicate with the customer and discuss an appropriate solution.


22. THIRD-PARTY SERVICES AND LINKS

Our website may contain links to third-party websites, platforms, payment services, logistics providers, or other external services.

These services are operated independently from BONITOGO.

We are not responsible for the content, availability, security, privacy practices, or policies of third-party websites or services.

Your use of third-party services is subject to the terms and policies of the relevant third party.


23. WEBSITE AVAILABILITY AND DISCLAIMER

We make reasonable efforts to maintain the website and keep its information current.

Nothing in these Terms prevents the parties from agreeing separately in writing on the applicable governing law, jurisdiction, or dispute-resolution mechanism for a particular commercial transaction.


26. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified or limited to the minimum extent necessary, and the remaining provisions shall continue in effect.


27. ENTIRE AGREEMENT

These Terms govern the general use of the BONITOGO website and services.

For a specific commercial transaction, the applicable quotation, Proforma Invoice, purchase order, approved specifications, approved samples, or separate written agreement may contain additional or different terms.

Where there is a conflict between these general Terms and a specific written commercial agreement, the specific agreement applicable to the relevant order will generally take precedence.
